15. Dispute Resolution and Binding Arbitration
Informal Resolution First
Before initiating any formal dispute, you agree to contact us at contact@flooringcontractordirectory.com and provide a written description of the dispute and the relief you are seeking. We will attempt to resolve the dispute informally for a period of 30 days from receipt of your notice.
Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Website (other than claims for injunctive relief as described below) shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at adr.org. The arbitration shall be conducted in Escambia County, Florida, or via remote proceedings where permitted by AAA rules.
The arbitrator's decision shall be final and binding, and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver
YOU AND FLOORING CONTRACTOR DIRECTORY EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than arbitration, both parties waive any right to a jury trial.
Exceptions
Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction solely to prevent irreparable harm, including but not limited to intellectual property infringement, without first complying with the informal resolution procedure above.
16. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law provisions. Any litigation not subject to arbitration shall be brought exclusively in the state or federal courts located in Escambia County, Florida, and you consent to the personal jurisdiction of such courts.
17. Force Majeure
We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, internet outages, power failures, government actions, or failures of third-party service providers.
18. Severability and Entire Agreement
If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Flooring Contractor Directory with respect to your use of the Website and supersede all prior agreements or understandings.
